Please read these Terms of Service (“Terms”) carefully before using the Rudy AI service.

By accessing or using Rudy AI (“Service”), you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Description of Service

Rudy AI is a software service that allows you to:

  • Create AI-powered monitoring agents
  • Capture and analyze screenshots from your computer
  • Receive alerts via Discord, Telegram, email, or other notification channels

The Service includes our website (heyrudy.ai), desktop application, and related APIs.

2. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that:

  • You are at least 18 years old
  • You have the legal capacity to enter into these Terms
  • You are not prohibited from using the Service under any applicable law

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account with a valid email address and password.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

We are not liable for any loss or damage arising from your failure to protect your account.

3.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4. Subscription and Payments

4.1 Free and Paid Plans

We offer free and paid subscription plans. Features and limits vary by plan.

4.2 Billing

  • Paid subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law or as explicitly stated
  • We use Stripe for payment processing

4.3 Price Changes

We may change our prices at any time. Price changes will take effect at your next billing cycle. We will provide at least 30 days’ notice of price increases.

4.4 Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • You retain access until the end of your current billing period
  • No partial refunds are provided for unused time
  • Your data remains accessible until the end of your billing period

4.5 Failed Payments

If a payment fails, we may:

  • Retry the charge
  • Downgrade your account to the free plan
  • Suspend your account after multiple failed attempts

5. Acceptable Use

5.1 You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Monitor screens you do not own or have explicit permission to monitor
  • Capture screenshots of content you do not have rights to
  • Use the Service to stalk, harass, or harm others
  • Attempt to gain unauthorized access to the Service or other users’ accounts
  • Reverse engineer, decompile, or disassemble the Service
  • Interfere with or disrupt the Service or servers
  • Upload malicious code, viruses, or harmful data
  • Use the Service to send spam or unsolicited messages
  • Resell, sublicense, or redistribute the Service without permission
  • Use the Service to violate any third party’s intellectual property rights

5.2 Monitoring Restrictions

You may only monitor:

  • Screens on devices you own
  • Screens you have explicit, lawful permission to monitor
  • Publicly accessible websites and data

You may NOT use Rudy to:

  • Surveil employees without proper notice and consent (where required by law)
  • Monitor another person’s private communications without consent
  • Capture sensitive financial data (full credit card numbers, bank PINs, etc.)
  • Violate any applicable privacy or data protection laws

5.3 Enforcement

We reserve the right to investigate violations and may:

  • Remove content that violates these Terms
  • Suspend or terminate your account
  • Report illegal activity to law enforcement

6. Intellectual Property

6.1 Our Property

The Service, including its design, features, code, documentation, and branding, is owned by Rudy AI, Inc. and protected by intellectual property laws. You may not copy, modify, or create derivative works without our written permission.

6.2 Your Content

You retain ownership of:

  • Screenshots captured by the Service (which are not retained by us)
  • Agent configurations you create
  • Any content you upload or input

By using the Service, you grant us a limited license to process your content solely to provide the Service to you.

6.3 Feedback

If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, royalty-free license to use them without compensation or attribution.

7. Third-Party Services

The Service integrates with third-party platforms including:

  • Discord
  • Telegram
  • Email providers
  • OpenAI (for AI processing)
  • Stripe (for payments)

Your use of these services is subject to their respective terms and policies. We are not responsible for third-party services.

8. Disclaimers

8.1 “As Is” Basis

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF RESULTS

8.2 No Guarantee of Availability

We do not guarantee that:

  • The Service will be uninterrupted or error-free
  • Defects will be corrected
  • The Service will meet your requirements
  • Alerts will be delivered instantly or at all

8.3 NOT FINANCIAL ADVICE

THE SERVICE IS A MONITORING AND ALERTING TOOL ONLY.

RUDY AI DOES NOT PROVIDE FINANCIAL, INVESTMENT, TRADING, TAX, OR LEGAL ADVICE.

  • We do not recommend any trades, investments, or financial decisions
  • Alerts about market conditions are informational only
  • You are solely responsible for your trading and investment decisions
  • Past performance is not indicative of future results
  • Trading and investing involve risk of loss

YOU ACKNOWLEDGE THAT ANY TRADING OR INVESTMENT DECISIONS YOU MAKE ARE ENTIRELY YOUR OWN RESPONSIBILITY.

We strongly recommend consulting a licensed financial advisor before making any financial decisions.

8.4 AI Limitations

The AI-powered features may:

  • Produce inaccurate or incomplete results
  • Fail to detect certain patterns or changes
  • Experience delays or downtime
  • Change in capability over time

Do not rely solely on the Service for critical decisions.

9. Limitation of Liability

9.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUDY AI SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • TRADING LOSSES OR MISSED TRADING OPPORTUNITIES
  • COST OF SUBSTITUTE SERVICES

9.2 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR
  • ONE HUNDRED U.S. DOLLARS ($100)

9.3 Basis of the Bargain

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. YOU ACKNOWLEDGE THAT THESE LIMITATIONS ARE AN ESSENTIAL PART OF THESE TERMS AND THAT WE WOULD NOT PROVIDE THE SERVICE WITHOUT THEM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Rudy AI, Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Content you monitor, capture, or share using the Service

11. Termination

11.1 By You

You may terminate your account at any time by canceling your subscription and deleting your account in the app settings.

11.2 By Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • We are required to do so by law
  • We discontinue the Service

11.3 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your data after 30 days
  • Provisions that should survive termination will survive (including Sections 6, 8, 9, 10, and 12)

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@heyrudy.ai and attempt to resolve the dispute informally for at least 30 days.

12.2 Arbitration Agreement

YOU AND RUDY AI AGREE THAT ANY DISPUTE ARISING FROM THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY BINDING ARBITRATION, except for disputes that qualify for small claims court.

Arbitration will be conducted by:

  • JAMS under its Streamlined Arbitration Rules
  • In English
  • In [Your State], United States (or remotely)

YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

12.3 Exceptions

This arbitration agreement does not apply to:

  • Claims for injunctive relief to protect intellectual property
  • Small claims court actions (where eligible)

12.4 Opt-Out

You may opt out of arbitration by sending written notice to legal@heyrudy.ai within 30 days of creating your account.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rudy AI regarding the Service.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

14.5 Modifications

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

14.6 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet outages.
